Current Position Description

Board of Directors

The Alaska Food Policy Council (AFPC) is led by a volunteer board of directors who bring their passion,
skills, knowledge, and experience to advance the mission of the organization. Board members have
fiduciary and legal responsibilities for the organization.

Roles and Responsibilities:
● Provide organizational governance: The board is responsible for strategic planning and
ensuring that the organization stays true to its mission, vision, and guiding principles. The board
ensures proper functioning of board processes and good organizational governance. They also
approve AFPC programs and services and monitor their effectiveness.
● Contribute to AFPC’s financial health: Board members shall contribute to AFPC’s fundraising
endeavors.
● Support the Board Chair and/or Executive Director: The board shall be responsible for
ensuring that the Board Chair and/or Executive Director are well supported with the resources
s/he needs to maintain a healthy and sustainable organization. In addition, the board selects/hires
and evaluates these positions.
● Serve as an ambassador/spokesperson: The board shall be spokespeople in the community to
promote the AFPC’s mission, vision, and programs. Board members will ensure that the work of
the AFPC is relevant to the needs of their specific communities.
● Ensure fiscal and legal responsibility: The board maintains oversight for the legal and fiscal
activities of the organization. This includes maintaining adequate knowledge of the organization’s
financial position, ensuring proper financial controls are implemented, approving an annual
budget, overseeing an annual audit, and ensuring a robust fund development plan for the
organization is in place.
● Contribute to a strong board of directors: Assist in the ongoing process of ensuring a healthy
mix of skill, experience, and passion on the AFPC board by ensuring a robust nominations
process is in place, and by cultivating new leadership and talent on the board.

Term: Each board member is committed to serving a full 3-year term, with the option for renewing for up to 3
terms.

Meetings and Commitments:
● Commit up to ten (10) hours monthly on AFPC board/committee/workgroup related business.
● Attend at least 9 out of 12 AFPC board meetings per year, and participate in scheduled face to
face meetings. Board members must contact the board chair(s) if they will be absent.
● Participate in scheduled board retreats, planning meetings, workshops and other board
development activities. Participate in at least one board training event and an annual evaluation
to identify ways in which our board can improve its performance.
● Serve on one internal committee.
● Participate in at least one fundraising opportunity, and/or attend at least one AFPC event.
● Provide an annual donation to AFPC that is meaningful and personally significant.

Expectations of Board Members:
● Hold the AFPC to a high standard of performance and actively help to make this a world class
organization.
● Understand the roles and responsibilities and become sufficiently knowledgeable about the
organization and its operations to make informed decisions.
● Uphold decisions made by the Board on mission, values, processes, and strategies.
● Read the materials sent to the board and come prepared to board and committee meetings,
including reading the minutes when a meeting has been missed.
● Arrive at meetings on time and stay for the full agenda unless I have otherwise notified the board
or committee chair.
● Ask for clarification on any matters or material that I do not understand before making a decision.
● Listen carefully to other board members and staff with an open mind and an objective
perspective.
● Actively work towards those decisions and solutions that are in the organization’s best interests
(speaking with one voice).
● Respect the confidentiality of the board’s business.
● Avoid any conflict of interest.
● Promote equal opportunity and avoid any type of discrimination.

Briefly describe your board culture.

This is a working board that meets monthly by zoom, with one in-person meeting in December (typically in Anchorage). Our goal is to include a diverse array of perspectives, backgrounds, and experiences on the board, from the many facets of food systems work.
